Welcome to Spot. These Terms of Service ("Terms") govern your use of the Spot software, platform, and website (collectively, the "Service"). By creating an account or using our Service, you agree to these Terms.

1. Description of Service

Spot provides a software platform that allows businesses ("Merchants") to create custom online storefronts connected to third-party Point of Sale (POS) systems. Spot is a technology provider, not a payment processor, bank, or retail merchant.

2. Merchant Responsibilities & Liability

If you are a Merchant using Spot, you retain full responsibility for your business operations. This includes, but is not limited to:

  • Fulfilling orders, managing inventory, and shipping products.
  • Managing customer service, returns, and refunds.
  • Complying with all applicable local, state, and federal taxes and laws.

Spot is not the "Merchant of Record." Any dispute regarding a physical product, food item, or service purchased through a Spot storefront is strictly between the Merchant and the end-customer.

3. Third-Party Integrations (e.g., Square)

Our Service relies entirely on third-party integrations (such as Square) to sync menus, validate inventory, and process payments.

  • You must maintain your own valid account with these third-party providers.
  • Spot is not responsible for any downtime, API failures, frozen funds, or rejected transactions caused by third-party POS or payment providers.
  • Spot does not store, process, or transmit raw credit card data. All payment details are securely tokenized and handled directly by the third-party payment gateway.

4. Fees and Subscriptions

Spot is provided as a software-as-a-service (SaaS). We reserve the right to modify our subscription fees dynamically. We will provide prior notice of any pricing changes. Failure to pay subscription fees will result in the suspension of your storefront.

5. Termination

We reserve the right to suspend or terminate your account at any time, without notice or refund, if you violate these Terms, engage in fraudulent activity, or use our Service to sell illegal goods.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPOT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.
